These Terms & Conditions ("Terms") govern your use of Reploy ("Reploy", "we", "us", "our"), our website www.reploysolutions.com, and our messaging service. By using the service, or by messaging a business that uses Reploy, you agree to these Terms.
1. The service
Reploy provides an AI-assisted messaging service that helps businesses respond to their customers over SMS and WhatsApp. On a business's behalf, the service answers customer questions using a knowledge base the business maintains, relays questions the AI cannot answer to the business owner, books appointments the customer requests, and sends appointment confirmations and reminders.
2. SMS / WhatsApp messaging program
- By texting a participating business first, or by providing your mobile number to that business and expressly agreeing to receive texts from it, you consent to receive text messages from that business through Reploy.
- Message frequency varies based on your conversation and any appointments you book.
- Message and data rates may apply.
- Reply STOP to unsubscribe at any time. After you send STOP, you will receive one confirmation message and no further messages unless you re-subscribe.

- Consent to receive messages is not a condition of any purchase.
- Carriers are not liable for delayed or undelivered messages.

3. Acceptable use
You agree not to use the service for unlawful, abusive, harassing, or fraudulent purposes; to send spam or unsolicited marketing; or to transmit content that violates the rights of others or applicable carrier and messaging-platform policies (including CTIA guidelines and Twilio's Acceptable Use Policy).
4. Business accounts
Businesses that subscribe to Reploy agree to:
- Provide accurate business and billing information.
- Obtain proper consent from their own customers before messaging them, and honor opt-outs immediately.
- Keep their knowledge base accurate — the AI answers based on what the business teaches it.
- Comply with all applicable laws and messaging policies, including the TCPA and CTIA guidelines in the United States.
- Pay subscription fees for their chosen plan (Starter, Pro, or Max) as described at signup. Plans renew monthly until cancelled; usage above the plan's monthly reply quota routes conversations to the owner rather than incurring overage charges.
5. AI-generated content
Replies generated by the service are produced automatically from the business's knowledge base. While the service is designed to escalate to the business owner rather than guess, we do not guarantee that every automated reply is accurate or complete. The business remains responsible for the information it provides to its customers.
6. Disclaimers
The service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that messages will always be delivered, timely, accurate, or error-free.
7. Limitation of liability
To the maximum extent permitted by law, Reploy is not liable for any indirect, incidental, special, or consequential damages, or loss of profits, revenue, or data, arising from use of or inability to use the service.
8. Termination
We may suspend or terminate access to the service for violation of these Terms or applicable messaging policies. Businesses may cancel their subscription at any time, effective at the end of the current billing period.
9. Changes
We may update these Terms from time to time. The "Effective date" above reflects the latest version. Continued use of the service after changes take effect constitutes acceptance.
